Our new Corporate Counsel (Commercial) will report directly to the VP Assistant General Counsel (Commercial). What You'll Do Drafting reviewing and negotiating a wide range of B2B sales agreements with organizations ranging from SMBs to Fortune 100 companies on ezCater templates and third-party paper to drive revenue while balancing legal and business risk Building and improving contract forms playbooks talk tracks and legal processes to help our sales organizations scale Partnering closely with our sales finance operations security people operations and other business teams to develop creative solutions to unique customer and restaurant partner requests and requirements Designing providing and refreshing trainings for our sales teams on contract best practices and frequently negotiated issues while coordinating deeply with the sales operations team on implementing recommendations for streamlining processes Representing the ezCater legal team as part of a cross-functional working group that contributes timely and creative responses to customer RFPs Advising on B2B product marketing materials and coordinating with other legal team members to ensure consistency in messaging around products services and related claims Triaging and working closely with other members of the legal team to identify and resolve customer- and restaurant partner-related privacy tax and regulatory issues Handling research and other projects supporting our sales teams on certain product and regulatory matters Reviewing and negotiating vendors agreements in support of our sales organizations and (as needed) other teams across the business as well as providing legal support for other projects at the discretion of the leads of the ezCater legal commercial and compliance groups What You Have A minimum of 6 years legal experience preferably at both a law firm and in-house and membership to at least one state bar Excellent drafting and negotiating skills across a range of commercial agreements including MSAs SaaS agreements strategic partnership agreements and data processing agreements on both familiar and third-party templates Sound judgment and ability to balance risk with business objectives Outstanding oral and written communication skills with the ability to distill and communicate complex issues clearly and effectively across all levels of the organization A passion for tackling challenges and working collaboratively with stakeholders across the business to design and drive creative solutions that achieve business outcomes while mitigating legal and business risks A strong work ethic high standards impeccable integrity and well-honed analytical skills Bonus Points 3+ years’ experience supporting B2B sales organizations in contract negotiations Experience in the tech industry particularly online marketplaces Working within parameters of AI-assisted contract review and redlines The national cash compensation range for this role is $169000 - $235000 per year Please note: Final offer amounts are determined by multiple factors including prior experience expertise and region & may vary from the amount above. We are a specialty corporate law firm looking for a full-time dynamic and independent lawyer to join our international corporate/commercial team. The ideal candidate we seek is looking for a remote work setup with exposure to high quality legal work and intensive training. The candidate will primarily be supporting our corporate team on US law related work which will include M&A corporate finance venture capital fund formation and representation and specialty international commercial work. Compensation will be at par with or above tier 1 law firms in India but may vary based on the applicant’s skill and experience. The position is completely remote but will require working on US hours.
